MEMBERSHIP TERMS & CONDITIONS
Effective from: 1st January 2025
CEO Advisory Groups is a professional business community designed for CEOs, founders, business owners, executives and other qualified business leaders.
Our purpose is to provide a confidential environment for:
strategic business discussions;
peer-to-peer advisory;
sharing business challenges and experience;
meaningful professional relationships;
referrals and business opportunities;
leadership development; and
trusted connections between business leaders.
The value of the community depends on trust, professional conduct, confidentiality and active participation by its Members.
1. Purpose of CEO Advisory Groups
2. Membership
Membership is personal and is granted to the individual approved by CEO Advisory Groups.
Membership does not automatically grant the right to:
transfer membership to another person;
represent another person or company;
invite individuals to meetings without approval;
use the CEO Advisory Groups member database for external purposes; or
represent CEO Advisory Groups without written authorisation.
CEO Advisory Groups reserves the right to approve or decline membership applications and to determine whether an applicant is suitable for a particular group or business category.
Members are expected to participate actively and professionally in CEO Advisory Groups meetings.
Where the membership package requires meeting participation, the Member agrees to attend the applicable meetings during the membership period.
Meetings may include:
CEO Advisory Sessions;
CEO Hot Seat sessions;
Mastermind discussions;
strategic peer advisory;
business networking meetings;
leadership experiences;
workshops;
special events; and
other activities organised by CEO Advisory Groups.
CEO Advisory Groups may change meeting dates, venues, formats or agendas when reasonably necessary.
5.Meetings and Participation
6. Guest Participation
Members may be permitted to invite guests to selected CEO Advisory Groups events, subject to prior approval.
Guests must comply with these Terms and the standards of professional conduct expected within the community.
A Member must not use guest invitations as a means of recruiting participants for another organisation, competing networking group or commercial community.
8. Conflict of Interest, Non-Solicitation & Competing Organisations
CEO Advisory Groups is built on trust and meaningful professional relationships.
Members must not misuse their membership or relationships obtained through CEO Advisory Groups for the purpose of recruiting Members or guests into another business networking organisation that directly competes with CEO Advisory Groups.
Without prior written approval from CEO Advisory Groups, Members must not:
invite or encourage a CEO Advisory Groups Member or guest to attend a competing networking organisation’s meeting or event;such as BNI,Rotary club and other social business clubs and organisations.
distribute invitations, registration links, promotional materials or membership offers from a competing organisation to CEO Advisory Groups Members or guests;
use CEO Advisory Groups member lists, contact information, WhatsApp groups, email lists, event registrations or other community information to recruit people for another organisation;
actively solicit Members or guests to join, transfer to or participate in another competing networking organisation;
use a CEO Advisory Groups meeting, event or communication channel to promote another competing networking organisation;
encourage Members to leave or discontinue their CEO Advisory Groups membership for the purpose of joining a competing organisation; or
represent or promote another networking organisation to CEO Advisory Groups Members or guests for recruitment purposes.
Professional Activities
This clause does not prevent Members from:
maintaining independent professional relationships;
attending general business events;
participating in professional associations;
conducting their own business activities; or
participating in other organisations where there is no improper solicitation or misuse of CEO Advisory Groups relationships or information.
The purpose of this clause is to protect the integrity and trust of the CEO Advisory Groups community, not to restrict legitimate professional activity.
Any potential conflict of interest should be disclosed to CEO Advisory Groups management.
CEO Advisory Groups may provide communication channels including WhatsApp groups, email groups, online platforms and other digital communication channels.
These channels are provided primarily for CEO Advisory Groups activities and professional communication.
Members must not use these channels to:
promote competing organisations;
recruit Members for external organisations;
distribute unrelated mass advertising;
send inappropriate or offensive material; or
misuse Member contact information.
CEO Advisory Groups may remove content or restrict access where necessary to protect the community.
10. Communication Channels
CEO Advisory Groups may photograph or record meetings and events for legitimate organisational, promotional and communication purposes.
Members who do not wish to appear in promotional materials should notify CEO Advisory Groups in advance.
Members must not record confidential discussions or distribute photographs, videos or recordings of other Members without appropriate permission.
13. Photography, Video and Events
The membership year runs from 1 October to 30 September next year unless otherwise agreed in writing.
Membership renewal is subject to the applicable membership fee and the Terms in force for the new membership period.
A new membership agreement may be required for each membership year.
3. Membership Period
Members and guests are expected to treat one another with professionalism and respect.
Unacceptable conduct may include:
harassment;
intimidation;
threats;
discrimination;
aggressive or abusive communication;
deliberate disruption of meetings;
misuse of confidential information;
fraudulent or misleading representations;
inappropriate solicitation; or
conduct that materially damages the reputation or integrity of CEO Advisory Groups.
CEO Advisory Groups reserves the right to investigate complaints and take appropriate action.
11. Professional Conduct
14.Intellectual Property
CEO Advisory Groups materials, presentations, documents, event formats, branding, logos, written content and other intellectual property remain the property of CEO Advisory Groups or the relevant rights holder.
Members may not reproduce, sell, distribute or commercially exploit such materials without prior written permission.
16. Suspension or Termination of Membership
CEO Advisory Groups may suspend or terminate membership where a Member:
materially breaches these Terms;
fails to pay applicable fees;
repeatedly fails to comply with participation requirements;
misuses confidential information;
engages in serious misconduct;
improperly recruits Members for a competing organisation;
damages the integrity or reputation of the community; or
provides materially false or misleading information.
Where appropriate, CEO Advisory Groups may provide a written warning and reasonable opportunity to address the issue.
However, serious breaches may result in immediate suspension or termination.
17. Effect of Termination
Upon termination or expiry of membership:
access to private CEO Advisory Groups communication channels may be removed;
participation in Member-only activities may end;
confidential information must continue to be protected;
outstanding payment obligations remain due; and
obligations that are intended to survive termination will continue to apply.
Unless otherwise required by applicable law or expressly agreed in writing, membership fees are not refundable following termination resulting from a Member's breach of these Terms.
18. Changes to Meetings and Events
CEO Advisory Groups may change meeting dates, locations, speakers, formats or agendas when circumstances require.
Where a meeting cannot take place as originally planned, CEO Advisory Groups will make reasonable efforts to provide an alternative date, format or arrangement.
19. Complaints and Disputes
Members should first attempt to resolve concerns directly with CEO Advisory Groups management.
Where a dispute cannot be resolved informally, CEO Advisory Groups may refer the matter to its legal representatives.
Nothing in these Terms prevents either party from exercising rights available under applicable law.
20. Applicable Law
These Terms and the relationship between CEO Advisory Groups and its Members shall be governed by the applicable laws of the Republic of Latvia, unless otherwise required by mandatory applicable law or agreed in writing.
21. Acceptance of Terms
By signing the Membership Agreement, paying a membership invoice, renewing membership or otherwise participating as a Member after receiving these Terms, the Member confirms that they have read, understood and accepted these Membership Terms & Conditions.
The Member acknowledges that the integrity, confidentiality and trust of the CEO Advisory Groups community are fundamental conditions of membership.
CEO ADVISORY GROUPS
Effective date: 1 January 2025
Membership fees are payable according to the membership package and invoice issued by CEO Advisory Groups.
Unless otherwise expressly agreed in writing:
membership fees are non-refundable;in some cases person can request refund on period of first month of his membership period
event participation fees are separate from membership fees where applicable;
payment confirms the Member's commitment to the membership period;
unpaid fees may result in suspension or termination of membership.
Any promotional or discounted membership offer is subject to the specific conditions communicated at the time of purchase.
4. Membership Fees
Members may receive confidential or commercially sensitive information during meetings.
Members must not disclose, publish, distribute or use confidential information shared by another Member without that person's consent.
Confidential information may include:
financial information;
business strategies;
business problems and challenges;
customer or supplier information;
personal information;
business plans;
strategic discussions; and
information expressly identified as confidential.
The confidentiality obligation continues after membership ends.
7. Confidentiality
Members must conduct business development activities professionally and respectfully.
Members must not:
repeatedly pressure another Member to purchase a product or service;
use confidential information obtained through the group for inappropriate commercial solicitation;
distribute unsolicited mass marketing;
misuse private contact information; or
pressure Members or guests to join unrelated commercial programs.
Normal business referrals and commercial relationships between Members are permitted where conducted professionally and with mutual consent.
9. Member-to-Member Solicitation
Where a particular CEO Advisory Groups group operates with business-category exclusivity, only one approved Member may represent a particular business category unless otherwise agreed by CEO Advisory Groups.
The purpose of exclusivity is to create an environment where Members can build trust and generate referrals without unnecessary internal competition.
CEO Advisory Groups reserves the right to determine business-category classification and resolve potential overlaps
